Artist Platform Terms & Artist Agreement

Purpose

The Group Spin Entertainment Artist Platform provides artists with a professional online profile designed to showcase their career, Electronic Press Kit (EPK), biography, music, videos, media, photographs, tour dates, downloadable assets, booking information, and other approved promotional content.

The Platform may help connect artists with venues, promoters, event organizers, media professionals, brands, agencies, and potential clients.

Eligibility and Authority

The Artist represents and warrants that:

• The Artist is at least 18 years old or has valid authorization from a parent or legal guardian.
• The Artist has the legal capacity and authority to enter into this Agreement.
• Any representative creating an account for an artist is authorized to act for that artist.
• All submitted information is accurate, current, truthful, and not misleading.
• The Artist owns or has obtained all permissions necessary to submit and use uploaded content.

Artist Content Ownership

The Artist retains ownership of the Artist's original intellectual property and content, including:

• Photographs and press images
• Artist names and logos
• Music and audio recordings
• Videos and audiovisual materials
• Biographies and written materials
• Artwork and promotional designs
• Downloadable files and professional riders
• Artist-owned trademarks and branding

Nothing in this Agreement transfers ownership of the Artist's intellectual property to Group Spin Entertainment.

License Granted to the Platform

The Artist grants Group Spin Entertainment a non-exclusive, worldwide, royalty-free, sublicensable license, solely as reasonably necessary to operate and promote the Platform and the Artist, to host, store, reproduce, format, display, publish, distribute, and promote content submitted by the Artist.

This permission may include:

• Displaying approved content on artist profiles
• Publishing the Artist's approved EPK
• Promoting the Artist through Platform channels
• Sharing approved content through social media
• Featuring the Artist in email communications
• Using approved content in promotional campaigns
• Promoting events in which the Artist is scheduled to participate

This license remains active while the Artist's account or content remains active on the Platform, subject to reasonable archival, backup, historical, and previously published promotional uses.

Content Review and Approval

To maintain the quality, accuracy, professionalism, and integrity of the Platform, public-facing artist content may be subject to administrative review before publication.

Group Spin Entertainment may, at its reasonable discretion:

• Approve or reject submitted content
• Request corrections or revisions
• Edit formatting, spacing, or presentation
• Unpublish outdated or inaccurate information
• Remove inappropriate, unlawful, or non-professional material

Approval of content does not constitute legal verification of ownership, accuracy, licensing, or compliance. The Artist remains responsible for all submitted content.

Artist Responsibilities

The Artist agrees to:

• Maintain accurate and current profile information
• Submit only content the Artist owns or is authorized to use
• Maintain accurate availability and tour dates
• Maintain current professional, contact, and booking information
• Respect copyright, trademark, privacy, publicity, and other third-party rights
• Avoid illegal, offensive, defamatory, fraudulent, deceptive, or misleading material
• Protect account credentials and report suspected unauthorized access
• Not impersonate another person, artist, company, or organization

Platform Standards

Group Spin Entertainment may restrict, suspend, unpublish, or remove accounts or content that:

• Violates this Agreement
• Infringes intellectual property rights
• Contains materially false information
• Engages in harassment or abusive behavior
• Creates security, legal, or reputational risk
• Uses the Platform for spam, fraud, or unlawful activity
• Interferes with the operation of the Platform

Booking Inquiries

The Platform may permit visitors, venues, promoters, brands, agencies, or other parties to submit booking or professional inquiries concerning an Artist.

Submission or transmission of an inquiry does not constitute:

• A confirmed booking
• Acceptance of an offer
• A guarantee of Artist availability
• A binding performance agreement
• An employment relationship
• Automatic booking representation

No appearance or engagement is confirmed until the applicable parties execute the required written booking or event agreement.

Representation and Booking Commission

Participation on the Platform does not automatically create an agency, management, partnership, employment, fiduciary, or booking-representation relationship between the Artist and Group Spin Entertainment.

Any representation, booking commission, management, exclusivity, payment collection, negotiation authority, or agency service must be governed by a separate written agreement or applicable event booking agreement accepted by the relevant parties.

Account Security

The Artist is responsible for maintaining the confidentiality of login credentials and for activities occurring through the Artist's account.

The Artist must notify Group Spin Entertainment promptly after becoming aware of suspected unauthorized access, credential misuse, or a security incident involving the account.

Privacy and Public Information

Group Spin Entertainment will make reasonable efforts to protect non-public account information. Information intentionally submitted for an Artist's public profile may be publicly visible.

Public information may include:

• Artist name and biography
• Approved photographs and media
• Music and video links
• Tour dates and event information
• Social-media and website links
• Approved booking information
• Professional downloads and promotional assets

Platform Availability and Changes

Group Spin Entertainment may maintain, modify, improve, replace, restrict, suspend, or discontinue features of the Platform.

The Platform is provided on an "as available" basis. Group Spin Entertainment does not guarantee uninterrupted, error-free, or permanently available service.

Group Spin Intellectual Property

The Platform's software, design, structure, functionality, branding, trademarks, logos, graphics, layouts, databases, and original Platform content remain the property of Group Spin Entertainment or its applicable licensors.

The Artist may not copy, reverse engineer, reproduce, republish, sell, sublicense, or create an unauthorized derivative work from the Platform.

Third-Party Services and Links

Artist profiles may include links, embeds, media, payment services, social networks, streaming services, ticketing platforms, or other third-party services.

Group Spin Entertainment does not control and is not responsible for third-party availability, security, policies, conduct, content, or transactions.

Limitation of Liability

To the fullest extent permitted by applicable law, Group Spin Entertainment and its owners, employees, contractors, affiliates, and partners will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including damages associated with:

• Lost profits or revenue
• Missed opportunities
• Cancelled or unsuccessful bookings
• Technical interruptions
• Data loss or unauthorized access
• Third-party actions or services
• Unauthorized copying or use of publicly displayed Artist content by third parties

Nothing in this Agreement excludes liability that cannot legally be excluded under applicable law.

Indemnification

To the extent permitted by law, the Artist agrees to defend, indemnify, and hold harmless Group Spin Entertainment and its owners, employees, contractors, affiliates, and partners from third-party claims, liabilities, damages, losses, and reasonable expenses arising from:

• The Artist's submitted content
• Copyright or trademark infringement
• Violations of privacy or publicity rights
• False, inaccurate, or misleading information
• The Artist's breach of this Agreement
• The Artist's violation of applicable law

Account Suspension and Termination

The Artist may request account closure or profile removal by contacting Group Spin Entertainment.

Group Spin Entertainment may suspend, restrict, unpublish, or terminate an account that violates this Agreement or creates legal, security, operational, or reputational risk.

Previously published event materials, historical listings, records, backups, and promotional archives may remain where reasonably necessary for legitimate business, legal, historical, or recordkeeping purposes.

Agreement Modifications

Group Spin Entertainment may update this Agreement as the Platform, services, or legal requirements evolve.

When material updates require renewed acceptance, the Platform may request that the Artist review and accept a new agreement version before continuing to use certain features.

Governing Law and Entire Agreement

This Agreement is governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Subject to applicable law, disputes relating to this Agreement will be brought in an appropriate state or federal court located in Miami-Dade County, Florida.

This Agreement constitutes the entire understanding between the Artist and Group Spin Entertainment regarding the Artist's participation on the Platform.

Booking representation, management, event production, sponsorship, commissions, performance engagements, and related services remain subject to separate written agreements where applicable.

Founding Artist Program

Artists invited during the initial launch of the Group Spin Entertainment Artist Platform may be designated as Founding Artists.

This designation recognizes early participation and support. Group Spin Entertainment may offer Founding Artists early access, profile distinctions, promotional consideration, or additional opportunities at its discretion.

Founding Artist designation does not create guaranteed bookings, compensation, employment, representation, exclusivity, or additional contractual rights.
